Terms of Service

These Terms govern your use of Phillia (the "Service") provided by Systo AI ("we", "us"). By creating an account or using the Service you agree to these Terms. If you don't agree, don't use the Service.
The product
Phillia is a hosted client-portal product for agencies and other service businesses. Hosts pay a monthly subscription to open tables for their clients. Clients and crew members join via invite — they don't pay. At each table, our AI assistant ADAM acts on the host's behalf (and, when the host approves, on requests staged by clients) using credentials the host or client has connected — for example a GoHighLevel subaccount or a calendar. You retain ownership of all content you create or connect. We retain ownership of the Service itself.
Your account
- You're responsible for keeping your credentials safe.
- You're responsible for everything that happens under your account.
- One account per person; sharing logins violates these Terms.
- You must be at least 16 years old. If you're acting on behalf of an organization, you represent that you have authority to bind that organization.
Subscriptions and billing
Host subscriptions are sold by Lemon Squeezy as Merchant of Record on our behalf for cards and PayPal; for hosts in the Philippines we also offer PayMongo as a checkout option (cards, GCash, GrabPay, Maya, bank transfer). Receipts and any tax remittance flow through whichever processor you choose. Subscriptions auto-renew until cancelled. You can cancel any time from your account settings; access continues until the end of the paid period — we don't refund partial months unless required by law.
We may change pricing for future billing periods with 30 days' notice. Cancelling before the change takes effect is always available.
Hosts are responsible for billing their own clients. Phillia tracks billable hours on the running tab and presents the totals; the host collects payment from the client directly, outside Phillia. We are not a Merchant of Record for the host's client invoices.
If your subscription lapses, your account becomes read-only until you re-subscribe; we keep your data for 90 days before purge.
What ADAM does on your behalf
ADAM is an AI assistant. It acts on the host's behalf. When a client posts a request that would touch their own connected tools (for example tagging a contact in their GoHighLevel subaccount), ADAM stages the request on the host's approval queue ("the pass"). The action only executes after the host explicitly approves it. Hosts can choose looser autonomy modes (Threshold / Autopilot) for their own requests, but client-originated integration actions always pass through the queue.
For hosts who connect a Git repository (dev-shop use-case), ADAM can read the repo, create branches, propose code changes via pull requests, and — for the Autopilot autonomy mode — execute those changes within strict guardrails (surface-level edits, no auth/payment/schema/config changes, no deletions, capped at 200 lines and 8 files per action). Every code change lands as a pull request the host (or designated reviewer) must explicitly merge.
You are responsible for reviewing what ADAM does before shipping it — whether that's a contact tag, a pull request, or any other action. We make no warranty about the accuracy of AI-generated content. If ADAM takes an action you (the host) approved and it causes a problem with a third-party service, responsibility for that action is yours, not ours.
Your content
You retain all rights to content you create or upload (project notes, knowledge base entries, code, files). You grant us a limited license to host, process, and display that content solely to operate the Service for you.
You will not upload content that is illegal, infringing, harassing, or harmful. We reserve the right to remove content that violates these Terms or applicable law.
Acceptable use
You will not, and will not permit others to:
- Reverse engineer, scrape, or attempt to extract source code beyond what's publicly published.
- Use the Service to send spam, run phishing, or generate content meant to deceive (deepfakes, impersonation, etc.).
- Use ADAM to modify systems you do not own or have explicit permission to modify.
- Bypass quotas, share kitchen-actions across separate organizations, or otherwise circumvent metering.
- Use the Service to violate any law, regulation, or third-party right.
We may suspend or terminate accounts that violate these Terms, with or without notice when warranted by severity.
Third-party services
When you connect a third-party service to Phillia (GoHighLevel, Cal.com, Zoom, Slack, GitHub, Vercel, Google, and others), those services have their own terms that govern your use of them. By connecting them you authorize Phillia to act on those services as you, using the credentials you provide. We're not responsible for outages, changes, or actions of third parties — but we'll do our best to keep our integrations working. You can disconnect any integration at any time; stored credentials are purged within 24 hours of disconnect.
Service availability
We aim for high uptime but don't guarantee it. The Service is provided "as is" without warranties. Scheduled maintenance, third- party outages, and force majeure events may interrupt access.
Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising out of these Terms is capped at the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD 100. We're not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss, even if we knew the possibility.
Indemnification
You agree to defend and indemnify us against claims arising from your content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
Termination
You can delete your account at any time from settings. We can suspend or terminate your account for material breach of these Terms. On termination: your access ends, your content is deleted within 30 days (subject to legal retention), and any prepaid balance is forfeit unless required otherwise by law.
Changes to these Terms
We'll update these Terms as the product evolves. Material changes get 30 days' notice via email. Continued use after the effective date constitutes acceptance.
Governing law
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Disputes will be resolved in the courts of Manila, Philippines, unless we mutually agree to arbitration.
